Terms of Service
These Terms of Service govern your use of the Simicode LLC website and, where applicable, form the framework for client engagements.

1. Agreement
By accessing simicode.org or creating an account, you agree to these Terms and our Privacy Policy. If you are using the site on behalf of a company, you represent that you have authority to bind that company.
Project work is additionally governed by a written proposal, statement of work, or master services agreement (the “Engagement Documents”). If there is a conflict, Engagement Documents control for that project.

3. Accounts
- You must provide accurate registration information.
- You are responsible for safeguarding credentials and for activity under your account.
- We may suspend or terminate accounts that violate these Terms or pose security risks.
- Admin access is restricted to authorized Simicode personnel and designated client administrators where configured.
4. Website content and quotes
Website descriptions, portfolio summaries, timelines, and starting prices are informational. They are not binding offers. Binding pricing and scope are established only in Engagement Documents. Starting prices reflect focused MVP-scope engagements and may change.
5. Acceptable use
You agree not to:
- Attempt unauthorized access to systems, accounts, or data
- Probe, scan, or overload our infrastructure
- Upload malware or unlawful content
- Misrepresent your identity or affiliation
- Use the site to spam, harass, or infringe intellectual property
- Scrape the site in a manner that impairs service or violates robots rules
6. Intellectual property
The website design, branding, copy, and software owned by Simicode remain our property. Client project deliverables are owned as stated in Engagement Documents. Upon full payment for a project engagement, you typically own the deliverables created specifically for your business, excluding third-party components, open-source libraries, and reusable internal tools expressly reserved by Simicode.
7. Client responsibilities
Timely feedback, access to systems, content, and decision-makers are required for schedules. Delays caused by missing inputs may extend timelines without liability to Simicode.
8. Fees and payment
Fees, deposits, milestones, and payment terms are defined in Engagement Documents. Late payments may pause work and accrue reasonable collection costs where permitted by law. Taxes may apply based on your location and the nature of services.
9. Warranties and disclaimers
THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMICODE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Project warranties, if any, are limited to those expressly stated in Engagement Documents.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMICODE AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY ARISING OUT OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR PAID PROJECT SERVICES IS LIMITED AS SET FORTH IN THE APPLICABLE ENGAGEMENT DOCUMENTS, AND IF SILENT, SHALL NOT EXCEED THE FEES PAID TO SIMICODE FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend and indemnify Simicode against claims arising from your misuse of the site, your content, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by Simicode’s willful misconduct.
12. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Exclusive venue for disputes relating to the website shall lie in the state or federal courts located in Wyoming, unless Engagement Documents specify otherwise for a project.
13. Termination
We may suspend or terminate access to the website for violations of these Terms. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.
14. Changes
We may revise these Terms by posting an updated version with a new “Last updated” date. Continued use after posting constitutes acceptance where allowed by law.
